Terms of Service

1. Service Description & Acceptance

These Terms govern the use of Balance Optimizers’ time management software, consulting services, and content. By accessing our platform, you agree to be bound by this legally enforceable contract. The services include time tracking tools, AI-based scheduling assistants, and personalized productivity coaching. We reserve the right to modify services with 30 days notice.

2. User Obligations & Restrictions

• You must be at least 18 years old and legally capable of entering contracts.
• You agree not to reverse-engineer, scrape, or use automated bots to extract data.
• You shall not input illegal, discriminatory, or harmful content into our tools.
• You are responsible for maintaining the confidentiality of your login credentials.

3. Intellectual Property

All methodologies, frameworks, reports, and algorithms are proprietary. You receive a non-exclusive, non-transferable license to use the deliverables for internal business purposes. Unauthorized distribution of our time-mapping templates or coaching modules constitutes infringement.

4. Payment & Cancellation

Fees are invoiced monthly/annually in arrears. Late payments incur 1.5% interest per month. You may cancel with 60 days notice; early termination fees may apply for enterprise contracts. Refunds are prorated for unused pre-paid blocks.

5. Limitation of Liability

We are not liable for indirect damages, loss of productivity, or savings as a result of our services. Our total liability is limited to the fees paid in the preceding 12 months. This does not exclude liability for fraud or death caused by gross negligence.

6. Dispute Resolution & Governing Law

Disputes are resolved by binding arbitration per JAMS rules in New York County. Governing law is the State of New York, excluding conflict of laws. Class actions are waived.

7. Termination

We may terminate immediately for breach of these terms or illegal activity. Upon termination, your access ceases and we delete your data within 90 days.
